Terms of Service

These Terms of Service ("Terms") govern your use of the digital marketing services provided by Melba Moore Fine Linen LLC ("Agency", "we", "us"). By engaging our services, you ("Client") agree to be bound by these Terms.

1. Scope of Services

The Agency will provide the digital marketing services as described in the mutually agreed-upon Statement of Work (SOW) or proposal. This SOW will detail specific deliverables, timelines, and service fees. These Terms are incorporated by reference into every SOW.

2. Payment Terms

Service fees are billed in advance, typically on a monthly retainer basis, as specified in the SOW. Invoices are due upon receipt. Ad spend budgets for platforms like Google Ads or Meta are separate from our service fees and are payable directly by the Client to the respective platform, unless otherwise agreed in writing. Late payments may result in a suspension of services.

3. Timelines and Approvals

The Agency will make commercially reasonable efforts to meet the project timelines outlined in the SOW. The Client agrees to provide timely feedback and approvals to facilitate this process. Delays on the Client's part may shift project timelines, for which the Agency is not responsible.

4. Client Responsibilities

The Client is responsible for providing all necessary access to digital assets, brand guidelines, and other information required for the Agency to perform its services. The Client warrants that they have all necessary rights and permissions for any content or materials provided to the Agency.

5. Confidentiality

Both parties agree to maintain the confidentiality of the other's proprietary information, including business strategies, client lists, and performance data. This obligation survives the termination of the service agreement.

6. Intellectual Property

Upon full payment of all fees due, the Client shall own all final deliverables created by the Agency specifically for the Client under the SOW. The Agency retains ownership of its pre-existing materials, tools, and methodologies used to create the deliverables.

7. Limitation of Liability & Disclaimer

The Agency's services are provided "as is". We make no guarantees regarding specific results, rankings, or return on investment, as many factors are outside our control. Our liability for any claim arising from our services is limited to the fees paid by the Client in the one (1) month preceding the claim. 8. Term and Termination

The service term will be specified in the SOW. Either party may terminate the agreement with thirty (30) days written notice. Upon termination, the Client is responsible for paying for all services rendered up to the effective termination date.

9. Governing Law

These Terms shall be governed by the laws of the jurisdiction where Melba Moore Fine Linen LLC is registered.
